BOARD OF OVERSEERS RESPONSIBILITIES
In 2007, the AHCA Board of Governors established the Board of Overseers to promote the integrity, preserve the credibility and ensure sustainability and success of the Quality Award program. The responsibilities of the Board include:
- Oversight of key program functions, such as criteria establishment, program policies and procedures, Examiner training and review protocols.
- Oversight of the strategic direction of the program, which includes an annual strategic planning process.
- Engage charter teams to support performance improvement and accomplishment of the strategic plan.
- Report to AHCA/NCAL Leadership and the AHCA Board of Governors as appropriate.
LEVEL OF COMMITMENT
- Elected members serve a three-year term.
- The Board will meet in-person one time per year at locations determined by AHCA/NCAL staff, and will meet by conference call six times per year.
- Board members are also expected to participate on charter teams to support the accomplishment of the strategic plan and other Board priorities.
- Board members serve without compensation, but are reimbursed reasonable travel expenses.
BOARD SELECTION PROCESS
New candidates for the Board of Overseers are evaluated and selected by the current members of the Board and ratified by the Chair of the AHCA Board of Governors.
The selection process emphasizes expertise in continuous quality improvement and the long-term and post-acute care field. The Board looks for experience and commitment to the Quality Award Program or other similar programs and associations, and other knowledge that contributes to fulfilling their objectives and responsibilities.
Membership on the Board should be diverse and balanced in terms of the type of organization or groups represented, points of view represented and the functions to be performed, and avoid any undue influence, perceived or real, by any one individual or organization.
Without establishing any specific obligation, consideration shall be given to selecting Board members who represent:
CODE OF ETHICAL STANDARDS
Members of the Board of Overseers are guided by a Code of Conduct, the AHCA/NCAL Conflict of Interest and the AHCA/NCAL Anti-Trust Policy. The purpose of these policies are to avoid conflict between the personal interest of Board members and/or the organizations with which they are affiliated, and the interests of the National Quality Award program. A violation shall be cause for resignation or removal. All Board members will be required to sign these statements annually.
